Marshall University Terms & Conditions

The Marshall University Research Corporation (MURC) is a non-profit organization incorporated under the laws of the State of West Virginia.
The Robert C. Byrd Institute for Advanced Flexible Manufacturing (RCBI) adheres to MURC guidelines.
Indemnification: The participant agrees to indemnify and hold MURC and/or RCBI harmless from and against any claims of any kind arising from MURC's and/or RCBI's acts or omissions in the performance of the project. This indemnification includes any patent liabilities.
The participant further agrees to hold harmless MURC and/or RCBI for any injury to the participant or minors under the participant's guardianship as a result of injury or accident at the Institute. Further, endorsement of this agreement signifies that the participant has adequate insurance coverage to protect the participant's employees or representatives in the event of injury or accident.
This agreement may be modified or terminated in writing upon mutual agreement by the involved parties. Execution of this agreement depends on the availability of funding by federal, state, local, and other agencies supporting MURC.
The participant agrees to provide information about the impact resulting from the Institute's assistance. This may include increased sales, productivity, new jobs or markets.
Endorsement of this agreement constitutes willingness to pay as agreed.
This agreement is governed and shall be construed by the laws of the State of West Virginia.
Nothing contained herein or in any of the agreements or transactions contemplated hereby is intended or will be construed to create any relationship other than as expressly stated herein or therein and will not create any joint venture, partnership, or other relationship.
